AGREEMENT FOR PROFILE HIGHLIGHTING AND TELEHEALTH SERVICES

This Agreement ("Agreement") is entered into as of date signed, by and between provider/practice, hereinafter referred to as the "Client," and [Online Telemedicine], hereinafter referred to as the "Company" or "OTM."

PROFILE HIGHLIGHTING CONSENT:

Profile Highlighting:

The Client grants consent for their profile, including name, image, professional background, and services, to be highlighted on a designated banner within the Company's website.

Promotional Activities:

OTM may utilize the highlighted profile for promotional activities, including marketing campaigns, newsletters, social media posts, and other media to promote the Client's services and the Company.

Duration of Highlighting:

This consent is effective upon signing and remains valid during the contractual relationship unless otherwise specified in writing.

CLIENT'S RIGHTS:

Revocation of Consent:

The Client may revoke this consent at any time in writing, leading to the immediate cessation of highlighting and promotional activities.

Modifications to Profile:

The Client can request modifications to their profile by providing written requests to the Company.

GENERAL PROVISIONS:

Confidentiality:

The Company agrees to handle the Client's information confidentially without disclosing sensitive details without explicit written consent.

No Financial Compensation:

The Client acknowledges that this consent is voluntary, with no entitlement to financial compensation for the Company's use of their highlighted profile.

Governing Law:

This consent is governed by the laws of Texas, and any disputes will be subject to the exclusive jurisdiction of Texas courts.

TELEHEALTH SERVICES AGREEMENT:

RECITALS:

The Company operates an online telehealth service and engages clinical providers, including Affiliated Physicians.

Affiliated Physicians agree to be available for telehealth services through the Company's website when Company-employed providers are unavailable.

ENGAGEMENT:

The Company engages Affiliated Physician as an independent contractor for telehealth services to Potential Patients.

COMPANY'S TELEHEALTH SERVICE:

The Company may match Potential Patients with Affiliated Physician based on various criteria. No monetary compensation is exchanged between the Company and Affiliated Physician for services.

AFFILIATED PHYSICIAN'S OBLIGATIONS:

Affiliated Physician agrees to cooperate with Company policies, schedule services promptly, provide services according to standards, and notify Company of certain changes.

TERM; TERMINATION; AND CONFIDENTIALITY:

Term:

The initial term is one year, automatically renewing for subsequent one-year periods.

Termination:

Either party may terminate with 30 days' notice or immediately for material breach.

Confidentiality:

Both parties agree to treat patient information and other confidential information with utmost care, complying with HIPAA regulations.

NO EXCHANGE OF COMPENSATION; NO EXCLUSIVITY:

Neither party compensates the other for services. No exclusivity is implied, and each party is free to contract with others.

INDEMNIFICATION:

Each party indemnifies the other against claims arising from negligence or acts.

GENERAL PROVISIONS:

Assignment:

This Agreement may not be assigned without written consent.

Notice:

Notices will be in writing and considered delivered when personally delivered, sent by registered mail, or via facsimile.

Governing Law:

This Agreement is governed by the laws of the State of Texas.

Modification and Amendment:

Any modifications require mutual written consent.

Waiver:

Failure to enforce any provision does not waive the right to enforce it later.

Entire Agreement:

This Agreement supersedes prior agreements and is binding on successors.

Severability:

If any part is deemed invalid, the remaining parts remain in force.

Counterparts:

This Agreement may be executed in counterparts, and electronic signatures are valid.
